Terms of Service

Last updated: October 2026. Operator: [COMPANY NAME] ("we", "us"). Contact: [SUPPORT EMAIL]. Have these reviewed by counsel before production use.

1. What this service is

Payment Hub routes payment instructions between your application, payment providers, and your customers. We are not a bank, e-money issuer, or custodian: money moves through your own provider accounts and your own bank/wallet accounts. We keep records of those movements; we never hold customer funds.

2. Your responsibilities

You (the merchant) are responsible for: the accuracy of amounts, references, and redirect URLs you send us; keeping your API keys, webhook secrets, and install secrets confidential and rotating them on suspected exposure; verifying Manual Direct transfers against your own bank statements before approving; handling chargebacks, disputes, and refunds to your customers under your own policies and applicable law.

3. Acceptable use

No unlawful goods or services, no fraud, no money laundering, no circumventing provider terms, quotas, or throttles, no probing other workspaces' data. We may suspend or terminate accounts that breach this section, with or without notice where the law allows, and without liability for resulting downtime.

4. Availability and maintenance

We aim for high availability but guarantee no uptime figure. We may pause payment creation for maintenance, abuse prevention, or legal compliance (webhook ingestion continues where technically possible). Scheduled work is announced when practical; emergency work is not.

5. Fees, quotas, suspension

Plans, quotas, and fees are as published on your billing page. Exceeding quota, failed payment of our fees, or expired subscriptions suspends payment creation until cured; historical records are retained. Fees paid are non-refundable except where the law requires otherwise.

6. Liability

To the maximum extent permitted by law: the service is provided "as is" without warranties of any kind; we are not liable for provider outages, bank delays, customer disputes, or your own misconfiguration; our aggregate liability for any 12-month period is capped at the fees you paid us in that period. Nothing here limits liability that cannot be limited by law.

7. Changes and termination

We may change these terms with 30 days' notice in-app or by email; continued use is acceptance. Either side may terminate with 30 days' notice; we may terminate immediately for breach, non-payment, or legal obligation. On termination, API access ends; your records remain exportable for 90 days via support request.

8. Governing law

These terms are governed by the laws of the Republic of the Philippines, venue in [CITY, e.g. Makati City], without regard to conflict rules. Disputes go first to good-faith negotiation for 30 days, then arbitration or the courts of venue at our election where the law allows.
